It's a non-franchise sale, and as a result, consent is not required. 
 
The annual management fees stand at about $500,000. 
 
We seek three times annual management fees. All liabilities will be paid out at settlement, and personal guarantees offered for any contingent liabilities. 
 
The owner is at retirement age and, as such, is happy to sign an enforceable exclusion provision.
